Direct Wholesale Account Terms

These terms govern wholesale accounts and purchasing arrangements between Paper Kuts (“we,” “us,” or “our”) and approved wholesale clients (“Retailer,” “you,” or “your”) located in Canada and the United States.

1. Wholesale Account Eligibility

To qualify for a wholesale account, retailers must:

Operate a valid retail business (brick and mortar, online and/or social seller and pop ups)
Provide a valid sales tax number (Canada) or resale/tax ID (U.S.) or (if not collecting sales tax) a valid business identification number (from Master Business License, Provincial, State)
Complete and submit a wholesale application for approval

We reserve the right to approve or deny wholesale accounts at our discretion.

2. Order Minimums

Opening Order Minimum: CAD $500
Reorder Minimum: CAD $250
(Minimums may vary for seasonal or promotional collections)

3. Pricing

Wholesale pricing is confidential and available only to approved wholesale customers. Prices are listed in CAD unless otherwise specified.
Prices are subject to change without notice.
MSRP (Manufacturer's Suggested Retail Price) should be respected unless otherwise agreed.

4. Payment Terms

All orders must be prepaid unless a Net 30 account has been approved.
Accepted payment methods: Credit Card, PayPal, e-Transfer (Canada), ACH/Wire Transfer (U.S.)
Net terms (if offered) are due within 30 days of invoice date. Late payments may incur a fee of 2% per month.

5. Shipping

Orders ship from Burlington/Hamilton, Ontario
Shipping costs are the responsibility of the retailer unless otherwise stated in writing.
Carriers: Canada Post, UPS, FedEx, or other courier services.
Processing time: 3-7 business days from payment or order confirmation.

We are not responsible for shipping delays, customs fees, or import duties.

6. Returns, Damages, and Claims

Wholesale orders are final sale unless the product arrives damaged or defective.
Claims for damages or discrepancies must be made within 5 business days of receipt.
Photo evidence of damage is required for replacements or credit.
No unauthorized returns will be accepted.

7. Packaging & Branding

Products may not be rebranded without written permission.
Use of our photography, branding, or product descriptions for your website or social media, etc. is permitted.

8. Online Sales Policy

Retailers may sell our products online on their own branded websites. Sales on third-party marketplaces (e.g., Amazon, Etsy, Walmart Marketplace, etc.) are strictly prohibited and will constitute immediate cancellation of your wholesale account.

9. Territory & Exclusivity

Unless otherwise agreed in writing, no territory or sales exclusivity is granted.

10. Cancellation Policy

Orders may be cancelled within 24 hours of placement. After that time, orders are considered final and cannot be changed or cancelled.

11. Termination

We reserve the right to terminate wholesale privileges at any time for non-compliance with these terms or misuse of wholesale pricing or branding.

12. Governing Law

These terms are governed by the laws of Ontario, Canada and any disputes shall be resolved in the appropriate courts of that jurisdiction.
